Terms & condition for provision of services
1. General
1.1 The company shall provide the services in accordance with the condition which shall govern the contract to the exclusion of any other terms & conditions.
1.2 No variation to these conditions shall be binding unless agreed in writing by a Director of the Company
2 Level of services
2.1 The customer shall be responsible to the company for ensuring the accuracy of the terms of any order including, and not limited to, tariff and full list of calls logged during the relevant period.
2.2 The company accepts no responsibility and the customer agrees to indemnify it against claims for all losses resulting from the failure by the customer to provide correct data, including tariff and logged calls.
2.3 The company shall provide the reports in such format as it shall from time to time decide
2.4 The customer shall be entitled to upload data for analysis 24/7 onto the company’s website
2.5The company shall publish the bill online ready for analysis between 24 hours and 5 working days after the customer has uploaded all relevant data
3 Payment
4.1 The customer shall pay the monthly retainer fee on the date agreed and thereafter monthly in advance on the 1st day of each calendar month; see appendix [ ]
4.2 The customer shall pay any additional charges monthly in arrears within 30 days from the date of invoice.
4.3 If a customer fails to make any payment on the due date then the company has the right to charge 4% per annum above base lending rate of Barclays Bank plc on the cumulative amount outstanding
4 Warranties
4.1 The company represents warrant & undertakes to the customer as follows:
4.1.1. The company will perform the Services with all reasonable skill and care, exercising the requisite competence, diligence, qualifications and expertise expected of an experienced and competent supplier of similar services
4.1.2 The company will provide suitable, qualified and experienced personnel to carry out the Services or tasks related to the provision of the Services
4.1.3 The company will provide the Services in a timely and efficient manner
5 Intellectual Property Rights
5.1 No Party will obtain any ownership or license of the other Party's Intellectual Property Rights
6 Confidentiality
6.1 The company will keep all Confidential Information in strict confidence
7 Website policies
7.1 The company reserves the right to make changes to our website and the information published on our website from time to time. It is the responsibility of the customer to utilise support information and training tutorials via our website
8 Termination
8.1 The company or the customer may terminate any Purchase Order without liability at any time on not less 30 days written notice by either party
9 Force Majeure
9.1 The company shall not be liable to the customer or be deemed to be in breach of the contract by reason of any delay in performing, or failure to perform any of the company’s obligations in relation to services if the delay of failure was due to force majeure or any other cause beyond the company’s reasonable control.
10 Applicable Law
10.1The contract is made in, and governed by, the laws of England and Wales. The Parties irrevocably submit to the exclusive jurisdiction of the courts of England and Wales
